This Independent Agent Agreement ("Agreement") is made by and between AYG Global, LLC dba AYG Insurance & Financial Services ("AYG Global", "AYG", "Global" "Financial" "Insurance" or "Services"), a Nevada limited liability company of 2200 Paseo Verde Pkwy, Suite 290, Henderson, Nevada 89052 ("Corporate Office") and Independent Agent ("IA"), as an individual and IA are collectively referred to as “Parties."All documents here to are incorporated by reference to this Agreement.

WHEREAS, AYG Global is an Independent Marketing Organization ("IMO"), which is a term used throughout the insurance industry to describe a service provider to insurance carriers and insurance agents. AYG Global's business is to connect its independent agents with insurance carriers that offer life insurance policies, annuity plans, 403(b) salary reduction plans, and other financial and insurance products and services. As used herein, the capitalized term of Products and Services" or singular "Product" or "Services" shall refer only to those Products and Services approved by AYG Global and the Product Providers, as defined below;

WHEREAS, AYG Global as a corporate entity is not in the business of selling financial and retirement products, AYG Global's Independent Agents perform that work;

WHEREAS, IA desires to contract with AYG Global to receive authorization to sell those Products and Services and maintain a position as an Independent Agent with AYG Global;

WHEREAS, AYG Global has certain affiliated companies and subsidiaries referred to herein as "AYG Global Affiliated Companies". For purposes of this Agreement, any reference made to AYG Global shall be deemed to constitute a reference to the AYG Global Affiliated Companies unless otherwise specified;

WHEREAS, AYG Global has established a contractual relationship with insurance companies and carriers ("Product Providers") authorizing agents of AYG Global to solicit the sales of their Products and Services on their behalf.
